Terms of Service.

These Terms of Service ("Terms") are an agreement between you (the "Client") and DUXAU LLC ("DUXAU," "we," "us"), a web design studio based in New Jersey. By approving a website preview, paying through our checkout, or using our services, you agree to these Terms.

1. Our services

DUXAU designs, builds, hosts and maintains websites for businesses. What's included depends on the package and plan you choose, as described on our pricing page at duxau.com/pricing at the time you purchase.

2. Free preview

We build a preview of your website at no cost and with no obligation. You pay nothing unless you approve the preview and choose a package. Previews remain DUXAU's property, are hosted on our domain, and may be removed if not approved within 30 days.

3. Packages and payment

One-time website packages (Basic, Standard, Premium) are paid in full at checkout, after you approve your preview and before your site goes live.

Growth Plan is a monthly subscription that starts when your site goes live: $59/month for Basic and Standard sites, or $79/month for Premium sites. It includes hosting, SSL security, small text and photo updates, Google Business Profile management, a short monthly report, a review-request link, and seasonal updates. "Small updates" means routine changes such as hours, prices, text, photos and services; new pages, new features or redesigns are quoted separately.

$0-Down Plan includes a Standard website plus everything in the Growth Plan, for $199/month with a 12-month minimum term. After 12 monthly payments, the plan continues at $59/month on a month-to-month basis.

All subscriptions renew automatically each month and are charged to the payment method you provide. Prices may change with at least 30 days' written notice; changes never apply to a $0-Down Plan's first 12 months.

Payments are processed securely by Stripe. DUXAU does not store your full card details.

4. Failed payments

If a payment fails, we'll notify you and retry the charge. You can update your card anytime through our billing portal (the Manage billing link on our website). If a payment remains unpaid for 14 days, we may suspend your website until the balance is paid. If unpaid for 30 days, we may cancel your plan and take your website offline.

5. Cancellation

Growth Plan: month to month. Cancel anytime by email (info@duxau.com) or phone (609-800-2288) with at least 30 days' notice. Your site stays live through the end of the last paid month.

$0-Down Plan: you may cancel during the first 12 months by paying the remaining balance of the 12-month term (12 payments minus payments already made), or by choosing to have your website taken offline and paying an early cancellation fee of $499. After 12 payments, you may cancel with 30 days' notice like the Growth Plan.

Cancellations are handled by contacting us directly; they cannot be made through the billing portal.

6. Refunds

The preview is free, so you can review your site before paying anything. Because work is completed before payment, one-time package payments are non-refundable once your site goes live. Monthly payments are not refunded for partial months. If we fail to deliver what your package includes, contact us and we will make it right or issue a fair refund.

7. Ownership

One-time packages: once paid in full, you own your website's design, text and the content you provided. If you leave, we'll provide a copy of your website files on request.

$0-Down Plan: DUXAU owns the website files until the 12-month minimum is paid. After that, you own them as above.

Your content: you keep ownership of everything you provide (logos, photos, text, business information) and give DUXAU permission to use it to build and run your website.

Our tools: DUXAU keeps ownership of its general code, templates and methods, which we may reuse for other clients.

Portfolio: we may show your website in our portfolio unless you ask us not to in writing.

8. Domains and email

Domains we register for you are registered in your name whenever possible. Domain registration fees and Google Workspace email subscriptions are billed separately (by us at cost plus a stated fee, or directly by the provider). You are responsible for renewing domains you own.

9. Your responsibilities

You confirm that the content and information you give us is accurate and that you have the right to use it (including photos and logos). You are responsible for your business's licenses, claims and legal compliance on your website. We may decline or remove content that is illegal, misleading or infringes someone else's rights.

10. Hosting and availability

We use reputable hosting providers and work to keep your site online and secure, but we cannot guarantee uninterrupted service. Occasional downtime for maintenance or outages outside our control may happen.

11. Limitation of liability

DUXAU is not liable for lost profits, lost business or indirect damages. Our total liability for any claim is limited to the amount you paid us in the 3 months before the claim.

12. Changes to these Terms

We may update these Terms. We'll post the new version on this page with a new effective date and notify active clients by email for material changes.

13. Governing law

These Terms are governed by the laws of the State of New Jersey.
